The following Terms and Condition of Use (also referred to as « TCU »), establishes the basis of the contractual relation between :

- My SafeBook, hereafter referred to as the « Company »
and
- the User, hereafter referred to as the « User », the « Customer » or the « Member ».

Whenever relevant, the Company and the Customer may be referred to as « The Parties ». One side of the Parties shall refer to either the Company or the Customer.

The TCU contains all of the chapters described hereafter. These entire chapters are considered as a whole and single frame for the contractual basis between the Parties.

Any items that is neither described nor mentioned in the TCU cannot be considered as a valid item of the TCU and cannot be used with regards to any claims and / or legal actions to be initiated by one side of the Parties against the other one. By strictly defining the limit of the TCU, the Company clearly intends to protect both Parties of any misuse of the TCU during and after the period of their contractual relation (see the contractual relation period definition in the related chapter).

1. Ownership and Agreement

These Terms and Conditions of Use ("TCU") apply to the Company website located at www.my-safebook.com, as well as to all other sites, all related mobile apps for use on Android or iOS systems, and any other related products, interfaces, softwares, or systems (hereafter called "Products") associated to the Company. The Products are the sole property of the Company.

Your registration at MSB website means your acceptance of the TCU. The use of MSB Products means your acceptance of the TCU. This validates the contractual basis between the Parties until the period of the contractual relation expires. If you do not agree with the MSB TCU, do not register, do not become a MSB Member and do not use MSB products.

Case of update and / or modification of the TCU

The Company is the sole side of the Parties entitled to update and / or modify the TCU. Any update and / or modification shall be notified by the Company to the Customer by :

- use of the conventional email system. The sending of the email become the evidence of TCU change notification to the member. It is each member responsibility to check the mail in his private mail system. MSB does not provide any mail system.
and
- by an alert message informing and inviting the Members to check the new TCU. This alert message shall be displayed on the front page of the My SafeBook website for a duration of 1 month.

After the period of one month is over, the further use of the MSB Products means the Customer’ acceptance of the new TCU, and creates the new contractual basis between the Parties. If you do not agree with the Terms of Use, please do not continue to use MSB Products, and inform MSB by sending back a negative answer for the new TCU. The contractual relation termination shall be either with an immediate effect or at the end of the current period of the contractual relation, based on the Customer sole decision. In case of an immediate termination, no refund is made for the remaining contractual period.

2. Content

The Company owns and controls all text, graphics interfaces, trademarks, logos, computer code, layouts, images, photographs, icons, information, and names across the Products (hereafter referred to as the "Content"). The arrangement, design, and structure of the Content is also owned and controlled by the Company. The Company' Products and Content are protected by copyright, trademark, unfair competition, passing off, and intellectual property laws. Nothing contained in these terms shall be construed as conferring any right or license to use any of the Content at any time.

Content across the Products may be subject to change without notice. However, MSB shall guarantee a compliance between products evolutions, and all materials created with a previous version shall remain readable with any products evolution. Offering the same level of service remains the sole responsibility of MSB. If the Company believes a change it enacts may materially impact the Customer’ experience, the Customer will be notified via the contact information that have been provided, and MSB will provide the necessary support to overcome any unclear situation.

3. Use (Non Disclosure Agreement)

The Company grants you a non-transferable, non-exclusive, personal access to the platform and to use the Products, providing you comply with these TCU and any other guides MSB may issue.

You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or use the Products or Content in any other way, except for your own personal and non-commercial use. You may not adapt, alter, or create any derivative work from the Products or Content other than for your own personal and non-commercial use.

You may not use any device, program, or algorithm, either automatic or manual, to access the Products or obtain any of the Content. You may not test, scan, or breach any security or authentication systems on the Products.

You may use the Products only for lawful purposes, and you may not use the Products to enable the performance of any illegal activity. You may not use the Products in any way that may infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Products.

Any other use of the Products from the ones described in the Company site requires the prior written permission of the Company.

4. MSB products

MSB is responsible to provide the Customer an access to its platform :

- to create and manage its personal account and to set its preferences,
- to select a plan and feature it contractual relation with MSB,
- to proceed to regular payment,
- to handle its dedicated area for data management in a secured encrypted way,
- to its contact form,
- to interact with MSB support team,
- to put the data at the benedificaries disposal when time has come,
- any update in the TCU and PP.

MSB provides specific materials to support the Customer and help him / her for a quick handing. In particular, these materials explain how is organised the data storage and difference between:

- MSB common storage area, that are under MSB control for handling and security aspects,

5. The Customer account and data base

Upon registration, you will be granted a private access to the MSB platform. This access remain a private access for your sole usage for acessing your private account and your database. MSB remind you that sharing your private access information open your entire SafeBook to a third-party and is against the philosophy of MSB vision. Therefore, any transfer of usage to a third-party is strictly forbidden. Any violation of this basic principle may become a cas de force majeure and will be followed by a radiation. There is no refund for the remaining contractual period.

6. The MSB plan

MSB provides different plans for its members. These plans have been defined to provide modulable solutions that answer to various Customer’ needs. The Customer has a flexibility to change it plan at any time, to optimize its experience with MSB products, in terms of usage and cost optimization.

7. The Beneficiaries

By providing beneficiaries information, you provide the authorization to MSB to contact them, based on your will, for the transfer of your SafeBook information upon your death. MSB shall not do any other business activities, unless explicitly requested by your beneficiaries, i.e., support for the tool handling. The privacy policy that applies for any of the Customer’s beneficiaries are strictly the same as the ones that applies for the Customer (see Privacy chapter).

8. Contact form usage

MSB provides a contact form for members to raise any questions and interact with MSB support team. This contact form purpose is for information and technical support only. This falls naturally in the common area of MSB activities. By submitting a subject through this form, the Customer gives explicitly his / her consent to store the request and MSB answer in a common database which is under the full control and responsibility of the Company. This is not a form for passing any confidential information. Never provide any confidential information.

9. Limitation of Liability

MSB shall not be liable to you for any kind of loss (whether such losses were foreseen, foreseeable, known, or otherwise), in particular.

Further, MSB shall not be liable to you for damages, including indirect, consequential, exemplary, or any other damages at any time.

10. Warranties

The Products and Content are provided on an "as-is" basis. MSB makes no representations and disclaims, waives, and renounces all warranties, either express or implied, including any warranties as to fitness for a particular purpose, non-infringement, compatibility, accuracy, or satisfactory quality, and any warranties that the Products or Content will be uninterrupted or free of errors, bugs, viruses, or defects of any kind. The aforementioned disclaimer will apply to any injuries, damages, or liability as a result of any failure of performance, error, omission, interruption or delay, whether for tort, breach of contract, or any other cause of action.

11. Privacy

MSB' Privacy Policy applies to use of the Products, see MSB' Privacy Policy section.

12. Testimonials and Reviews

By submitting a testimonial or user review, you consent to:

- MSB' use of any, all, or none of the information stated in the submission;
- publication of your name, age, and location on the MSB website (unless you have expressly requested to remain anonymous);
and
- the waiver of any right to inspect the finished photograph, webpage, or other media format.

13. Period of access to MSB products

MSB products may be sold with a "Period of access". The period of access is a single, non-transferable right and is for the exclusive use of the account holder only.

MSB may, at its sole discretion, remove online access to its product. Those members who have a period of access have the ability and right at any time prior to termination of online access to download their private resources they would otherwise have accessed online and / or extend the period of access duration directly online.

14. Refunds

MSB offers a 30-day money-back guarantee. Should you wish to obtain a refund of your payment for use of the Products, please email MSB at support@my-safebook.com within 30 days of making payment and establishing your MSB account. MSB will endeavor to refund you via the same payment method that you originally used to pay for use of the Products.

15. Account and Security

When purchasing a right to use MSB Products, you will be required to create an account. It is your responsibility to maintain the security and confidentiality of the information that you use for your account, such as your password and encryption key. MSB will not be liable for any activity that may occur under your account as a result of your failure to maintain the confidentiality of your information.

You may be held liable in the event that MSB sustains loss or damage as a result of another individual using your account due to your failure to keep your account information secure.

16. Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of France. Should any of these terms be determined illegal, invalid, or unenforceable according to the laws of any other state or country, then that term shall be severed and deleted from these terms. The remaining terms shall survive, remain in full force and effect, and continue to be binding and enforceable.

17. Violation of Terms of Use

In the event that you violate these Terms of Use, MSB may terminate your access to the Products, Content, and your account.

In the event that MSB takes legal action against you as a result of your violation of these Terms of Use, MSB will be entitled to recover from you any costs associated with pursuing such action.

18. Dispute Resolution

In the event of any dispute between MSB and you arising in connection with your use of the Products, both parties shall attempt in good faith to resolve the dispute. If the dispute is not resolved within 15 business days, either party may proceed to mediation. If the dispute cannot be satisfactorily resolved through mediation, then either MSB or you shall be free to pursue any right or remedy available under applicable law.
